YZi Labs entered into a cooperation agreement with the BNB Treasury, CEA Industries, to put an end to a previous proxy competition over corporate governance and management enforcement. Corporate disclosures indicate that this arrangement will drive CEA into the management transition phase and synchronize the board composition.
Management into transition
According to the disclosure, the current CEO of CEA is expected to leave. The YZi Labs partner Alex Odagiu will serve as interim CEO until the company completes the selection of the new CEO.
This implies a shift from public pressure to internal reorganization. At the heart of the agreement was the completion of the management handover before advancing the successor governance arrangements.
Two new board members joined the board
After the agreement landed, Ella Zhang, head of YZi Labs, and Matthew Roszak, a block chain investor, was appointed to the CEA Board. Changes in board seats suggest that YZi will have a more direct voice in company follow-up strategies and supervision.
CoinDesk, citing persons close to reconciliation, claimed that YZi did not accept the definition of this as “take-over”. According to the source, this was more like a governance reshuffle with the objective of improving implementation and enhancing shareholder value.
Differences arise from governance and implementation issues
CEA was supported by YZi Labs by approximately $100 million when it was transformed into BNB-centric digital asset bank in July 2025. YZi, formerly known as Binance Labs, was a sub-branding department, which then completed the branding exercise in 2024.
However, in support of the CEA transition, differences between YZi and companies have emerged, focusing on board oversight and strategy implementation. This reconciliation means that this action, which is characterized by radical shareholders, has come to an end.
