The State of Delaware, in cooperation with Norm Ai, is proposing a new form of legal entity, AIC, which is intended to provide legal identity for AI agents. The proposal allows AI agents to operate independently within the legal framework and to be able to litigate, hold property and assume obligations. The day-to-day affairs of AIC will be managed by AI agents and no longer depend on human beings. Through this framework, Delaware hopes to ensure transparency and traceability of AI ' s business activities, while providing legal protection for participants.
The AIC of Delaware will operate only in the sandbox, and the relevant regulatory committee will be responsible for reviewing and approving the establishment of AIC. Each AIC must meet the capitalization requirements and disclose its identity and test status to its counterparty. The scheme will last for 30 months, after which the state of Delaware will decide how to legislate on the basis of the records.
This proposal is intended to provide a compliance environment for AI business activities and to ensure innovation within the legal framework while avoiding the transfer of related activities to areas where legal regulation is weak. The State of Delaware would like to take this opportunity to regulate this emerging technology under the United States legal tradition to ensure its visibility and accountability.
