Uber entered into an acquisition agreement with Delever Hero to take over the German delivery company with a full-stock deal of approximately $14.8 billion. The company disclosed that, if the transaction was completed, Uber ' s business coverage in Europe, the Middle East, Latin America and Asia would be significantly expanded and the number of markets operating in parallel with distribution would nearly double.

Transactions are still subject to supervisory review by shareholders

The acquisition has not yet been completed. According to the disclosure, Uber set a minimum acceptance threshold for the transaction, which is supported by 50 per cent plus 1 of Delivery Hero ' s issued equity. Uber was one of the largest shareholders in Delever Hero, and another major shareholder, Prosus, agreed to sell its 17% share.

In terms of the structure of the transaction, this is a whole-stock purchase, which means that Uber will not be able to complete all the reconciliations directly in cash. As the operational coverage of the merger will expand significantly, transactions are also expected to face a regulatory review.

14 overlapping markets to be sold to SSW Partners

In addition to the main transaction, Delever Hero entered into a separate agreement to sell its operations in 14 markets to the New York Investment Agency SSW Partners for $1.6 billion. These markets are now operated by Uber Eats.

This arrangement means that the parties will be detached from assets in partially overlapping areas to reduce the difficulty of integration and may also provide for subsequent approval.

If the transaction is successfully completed, the Uber distribution platform will be further expanded. According to TechCrunch, this will make it one of the largest distribution platforms in the world, at least at the forefront of markets outside China.

The CEO of Uber, Dara Costosasi, stated that the number of markets in which the company would provide both travel and distribution services would be nearly doubled after the merger. For Uber, the deal would also enhance its ability to compete with rivals such as DoorDash and Just Eat.
