According to the bulletin, Japan's Bitcoin Treasury, Metaplanet, plans to acquire 95.7 per cent of the shares of NASDAQ's SuperLeague Enterprise for approximately $134.6 million, and to change the name of the latter to Superplanet as its Bitcoin Treasury platform in the United States. The transaction is expected to be completed in the fourth quarter.

2100 bitcoin as major contribution

Of this transaction, Metaplanet will invest 2100 bitcoin and $2.5 million in cash, at a total value of approximately $134.6 million. Super League's existing shareholders will be diluted to approximately 4.3 per cent by the stock structure upon completion of the transaction.

Metaplanet will also be granted a ten-year credit card, corresponding to a maximum of 381 million shares, ranging from $3 to $33.5 per share. Simon Gerovich, CEO of the company, stated on platform X that less than 5 per cent of the company ' s total holding stock of the initial operational bitcoin was used, and that there was still room for subsequent injection.

Super League will be renamed Superplanet.

Upon completion of the transaction, Super League proposes to change its name to Superplanet and the stock code to SUPA. The company currently has a market value of approximately $5 million, and its original games and media business will continue to be maintained and operated as a stand-alone business block.

At the management level, Matthew Edelman, the current Chief Executive Officer of Super League, will continue to operate the new platform. The Board will have nine seats, of which five will be assigned by Metaplanet.

Retention of $210 million in follow-up investments

In addition to the initial investment, Metaplanet also has the right to an additional $211 million over the next 24 months, in the form of a non-conversionable priority share. As disclosed, Superplanet plans to use bitcoin as collateral for subsequent priority equity financing and to pay dividends from operating income and other cash flows.

The deal also occurred after the hot tide of the Bitcoin Treasury. After the collapse of the digital asset bank model in 2025, the stock prices of most of the large bitcoin holding companies fell at one point in their currency holdings, and some companies subsequently sold bitcoin, repaid debt or adjusted their old strategies. Metaplanet is advancing the United States platform at this time, demonstrating that it is still expanding this business direction.
